| Litigation Support |

Steven C. Gabrielson is President of Haynie & Company and Director of Litigation Support Services. Haynie & Company is qualified to accept a diversity of cases, whether large, medium or small. We have been providing litigation support services for over thirty years to both clients and attorneys with a wide variety of cases involving business and personal financial issues. The following are just a few examples of cases in which Haynie & Company personnel testified: Fire damage Our analysis of the facts in connection with an accidental fire which started at a construction site, alongwith our deposition testimony helped obtain a settlement of $1,500,000 for our client. Improper Advice During the initial interview with a new corporate tax client we suspected that they had been improperly advised about an earlier corporate reorganization. We participated in a series of meetings with the professional firm who had been their previous tax advisors, and legal counsel for both sides. Without the necessity of a formal lawsuit, the previous advisors agreed to pay our client $750,000. Tax Shelters One of our new clients was audited by the IRS, and had to pay $500,000 in interest and penalties on a "failed" tax shelter. When the client subsequently sued the firm who initiated the shelter, our expert testimony in court helped the client obtain an award for $500,000. Lost Profits An employee of one of our clients left, taking a major trade account with him to a competitor company. When our client sued for improper use of insider information, our determination of "lost profits" and our expert testimony was central to a jury verdict of $725,000. Fraud The family of a deceased business owner was sued for several hundred thousand dollars when the new owner subsequently claimed the purchase price had been artificially inflated. The plaintiffs claimed the deceased owner had kept inaccurate books, and had engaged in improper intercompany transactions. Our expert testimony at trial helped secure a jury decision in favor of the defendants. Business Valuation The plaintiffs claimed they had paid too high a price for three retail businesses when compared with other sales in the industry. Our research and testimony at trial ultimately resulted in a ruling in favor of the defendants. Family Inheritance A son and daughter each independently managed certain investments which they expected to inherit. After their mother's death, the son refused to share accounting information with the daughter. The daughter's attorney hired us to approach the son's accounting firm and investigate and summarize the 25 year history of transactions. We then assisted in a settlement, which took place on the morning the trial was to begin. Family Partnership Two brothers had been in business together for about 20 years, and operated commercial fish farms in two states. When they became disenchanted with each other and ended up in a bitter legal battle, we reconstructed the accounting records for their businesses, and gave deposition and trial testimony as to the equitable distribution of the assets. Donald P. McNerney is Managing Partner and Director of Tax Intervention Services. Haynie & Company provides professional tax services in the preparation of required federal and state tax returns for corporations, partnerships, LLCs, individuals, trusts, estates, retirement plans, and not-for-profit organizations. Additionally, we provide tax planning and tax consulting inherent to the financial success of any business, and the individuals who run it. Year-round tax planning takes both short and long-term financial needs into consideration. We also update our clients on pertinent tax laws, and provide specialized, effective representation before the Internal Revenue Service. Taxpayers need someone on their side who knows the IRS, understands its systems and knows how they operate. We know who to talk to and the proper procedures to follow. We know how to find out how much they know about you and your business and the exact status of your case. The following are just a few examples of cases successfully resolved by Haynie & Company: Delinquent Payroll Tax Deposits Working with the IRS, we successfully argued "reasonable cause" for a bookkeeper's failure to make timely deposits, and $110,000 of penalties were waived. 100 Percent Penalty Assessment We were successful in arguing with the IRS Appeals Office that an officer of a company was not a "responsible party" for purposes of employee withholding tax deposits and the officer was relieved of more than $23,000 in penalties. Negligence Penalties A company was audited by the IRS and their prior accountant represented them. When the IRS later assessed back taxes and negligence penalties, we filed amended returns reinstating disallowed deductions, which resulted in an IRS audit reconsideration. We were able to successfully argue the validity of the deductions, and all assessments and the negligence penalties were removed. Failure to File Returns We were successful in arguing that penalties associated with a new client's failure to file prior year tax returns should not have been assessed due to "reasonable cause." As a result, penalties of more than $92,000 were removed. Unreported Income The IRS argued that $220,000 of loans to shareholders of a client were in fact "constructive dividends" (i.e., unreported income to the shareholders) and assessed the owners over $75,000 in back taxes. We successfully reinstated the loans by working with the IRS, and all of the assessment of $75,000, which had previously been paid in full by the shareholders, was refunded back to the owners. Wage Levy The former wife of a company owner had her wages levied for undeposited payroll taxes of the company. The failure to deposit had occurred during the time she was the part-time bookkeeper for the company. She had left her husband and was unaware of the problem until the IRS levied her wages at her new employer several years later. We filed a petition with the Administrative Law Judge and requested a hearing. We met with the taxpayer and the Administrative Law Judge and successfully had the levy removed. Haynie & Company has been preparing and analyzing valuations of business entities where there is not a readily available secondary market (i.e. publicly traded on a stock exchange) since the late 1980s. Business valuations vary according to the needs of our clients and can range from determining a value for a possible sale to third party investors, estate and gift planning purposes, or in connection with litigation support services. |

David T. Shomaker, Audit Partner and Director of Fraud Examinations, is a Certified Fraud Examiner and a member of the Association of Certified Fraud Examiners. Michael L. Zurovski, Associate Partner, is a Certified Fraud Specialist and a member of the Association of Certified Fraud Specialists. They specialize in the detection and / or deterrence of a wide variety of fraudulent conduct - from discovering employees or executives who misappropriate company assets to assisting investors who are defrauded in the course of commercial transactions. The following are just a few examples of cases successfully resolved with the assistance of Haynie & Company: Internal Controls We discovered that a claims adjustor of a health insurance company was involved in settling false claims and making inappropriate payments. The employee was dismissed and appropriate changes were made to the internal controls for claims processing. State Regulators In the course of performing an audit of year end financial statements for a company, we uncovered transactions that required notification of company management and state regulators. Ultimate damages were determined to exceed $100 million. Asset Overstatement We found significant overstatements of assets and equity of a company where the accounting integrity was questioned, and adjusted the prior financial statements by more than one million dollars. Accounts Receivable A company was experiencing some irregularities in their accounts receivable ledgers. We determined that a system of undeposited cash receipts was in place, and an employee was defrauding the company. The employee was dismissed. Partner Dispute A partner in a general partnership believed that partnership funds were being used by another partner for personal gain. We participated in the investigation, which resulted in litigation proceedings against the other party. Sale of a Business A company was accused of fraudulently preparing internal financial statements in connection with the sale of the business. We proved in court that the Company's financial records were not misleading. Improper Disbursements A general partner in a number of limited partnerships, with assets of several hundred million dollars and thousands of limited partners, believed that the other general partner was inappropriately disbursing partnership funds. We established the existence of a number of inappropriate transactions, resulting in the removal of the other general partner and reimbursement of the misappropriated funds to the partnership.
